STATUTORY RULES AND ORDERS. 1933. No. 163.

THE GREAT SOUTHERN RAILWAYS COMPANY POSTAL VOTING SCHEME, 1933, (CONFIRMING AND APPOINTED DAY) ORDER, 1933.

The Great Southern Railways Company Postal Voting Scheme, 1933, (Confirming and Appointed Day) Order, 1933, made by the Minister for Industry and Commerce on the 11th day of December, 1933, pursuant to the provisions of Section 6 of the Railways Act, 1933 .

WHEREAS it is enacted by sub-sections (1), (2) and (4) of Section 6 of the Railways Act, 1933 , as follows :

(1) Within three months after the passing of this Act the Company shall prepare and submit to the Minister, a scheme (in this Act referred to as the postal voting scheme) whereby every election of a director of the Company which would, but for this section, be required by law to be made by the votes of members of the Company given at an annual general meeting of the Company shall be made by the votes of members of the Company, given by means of ballot papers sent or delivered by such members by post or otherwise to the Company or to a returning officer on behalf of the Company.

(2) When the postal voting scheme is submitted to the Minister by the Company under this section, the Minister shall, as he shall think proper, either by order confirm such scheme without modification or make such modifications in such scheme as he shall, subject to the provisions of this section, think proper and by order confirm such scheme as so modified.

(4) The Minister shall, by the order confirming the postal voting scheme under this section, appoint the day (not being later than twelve months after the passing of this Act) on which such scheme shall come into force :

AND WHEREAS the Great Southern Railways Company has prepared and submitted to the Minister for Industry and Commerce a postal voting scheme and the said Minister has made such modifications in such scheme as he has thought proper :

NOW, THEREFORE, the Minister for Industry and Commerce in exercise of the powers conferred on him by sub-sections (2) and (4) of the Railways Act, 1933 , and of any and every other power him in this behalf enabling, hereby orders as follows, that is to say :—

1. This Order may be cited for all purposes as the Great Southern Railways Company Postal Voting Scheme, 1933 (Confirming and Appointed Day) Order, 1933.

2. The Interpretation Act, 1923 , applies to the interpretation of this Order in like manner as it applies to the interpretation of an Act of the Oireachtas.

3. The postal voting scheme, set out in the schedule hereto (being the postal voting scheme submitted by the Great Southern Railways Company and modified by the Minister for Industry and Commerce as aforesaid) is by this Order confirmed.

4. The first day of January, 1934, is, by this Order, appointed as the day on which the postal voting scheme set out in the Schedule hereto shall come into force.

SCHEDULE.

THE GREAT SOUTHERN RAILWAYS COMPANY POSTAL VOTING SCHEME, 1933.

Preliminary.

1. This Scheme may be cited for all purposes as the Great Southern Railways Company Postal Voting Scheme, 1933.

2. In this Scheme—

the expression " the Company " means the Great Southern Railways Company ;

the word " director " means a director of the Company ;

the word " member " means a member of the Company ;

the expression " the Secretary " means the Secretary of the Company ;

the word " election " means an election of directors ;

the expression " the election " means the particular election which is, for the time being, about to be or in course of being held under this Scheme.

3. The Returning Officer at the election shall be such person as shall be appointed in that capacity by the Directors, and such appointment shall be made not less than seven clear days before the day fixed by this Scheme for the publication, by the Returning Officer, of the notice of the election.

Electoral Roll.

4. For the purposes of the election, the Secretary shall prepare a list (hereinafter referred to as the electoral roll) of all members who are entitled to vote at the election. The electoral roll shall contain the name of each member entitled to vote at the election and the address of such member. The names shall be arranged in such order as the Secretary may find convenient, and shall be numberedconsecutively. The electoral roll shall also contain at the top of each sheet or page thereof a statement to the effect that each member shall be entitled to one vote for each £100 of stock held by him. The preparation of the electoral roll shall be completed not later than fourteen clear days before the day of the annual general meeting, and on and after such completion, the electoral roll may be inspected by any member or any person authorised by a member at the offices of the Company, during office hours, and shall be kept open for such inspection until after the declaration of the result of the election. Any member may purchase a copy of the electoral roll on payment of the sum of Two Pounds Ten Shillings.

The Secretary shall, on one copy of the electoral roll, insert opposite to the name of each member, the amount of stock, and the denomination thereof, the holding of which entitles such member to vote, and shall transmit such list, duly signed by him, to the Returning Officer, not later than fourteen clear days before the day of the annual general meeting.

5. In exercise of the power conferred by Section 37 of the Great Southern Railways Amalgamation Scheme, 1925, the Directors shall close the registers of transfers of stock of the Company not less than seven days previous to the day which is not later than fourteen clear days before the day of each annual general meeting.

Election Dates.

6. The day of election shall be the day which is seven clear days after the day of the annual general meeting, and the poll shall close at twelve noon on the day of election.

Notice of the election shall be given not later than twenty-eight clear days before the day of election.

The latest day and hour for receiving nomination papers shall be four o'clock in the afternoon of the day which is nineteen clear days before the day of election.

The latest day and hour for the withdrawal of candidates shall be twelve noon on the day which is eighteen clear days before the day of election.

The day for the issue of ballot papers shall be the day which is sixteen clear days before the day of election, and the time for the issue of the ballot papers shall be such hour on that day as the Returning Officer shall appoint.

Whenever a day on which anything is required by this Scheme to be done falls on a Sunday or a bank holiday, if such day is prior to the day of the annual general meeting, such thing shall be done on the next preceding day which is neither a Sunday nor a bank holiday, and, if such day is after the day of the annual general meeting, such thing shall be done on the day next following which is neither a Sunday nor a bank holiday.

7. The notice of the election shall be in the form set out in the Schedule hereto, and shall be published by the Returning Officer within the time limited by the foregoing Rule by advertisement in at least one daily newspaper circulating in Saorstát Eireann.

Nomination of Candidates.

8. Every candidate at an election shall be nominated in writing in the form set out in the Schedule hereto, and the nomination paper of a candidate shall contain the particulars required by the form (including a statement of the consent of the candidate to be so nominated, signed by the candidate), and shall be made and subscribed by two members whose names appear on the electoral roll.

No member may sign more nomination papers than there are vacancies to be filled.

A nomination paper intended to be subscribed by a partnership or by an unincorporated association shall be subscribed in the name of such partnership or association by some person having authority to sign in that name.

A nomination paper intended to be subscribed by a corporate body shall be so signed by affixing to such paper the seal of such body in the manner and with the countersignatures required by the constitution, articles of association or other regulations of such body.

The Returning Officer shall supply, free of charge, to any member of the Company a form of nomination paper.

A candidate at an election nominated in accordance with the foregoing provisions shall not be required to give to the Secretary of the Company the notice in writing mentioned in sub-section (4) of Section 34 of the Great Southern Railways Amalgamation Scheme, 1925.

9. The Returning Officer shall attend to receive nominations on the day fixed by this Scheme, at a room in the Offices of the Company to be specified in the notice of election, between the hours of ten in the forenoon and four in the afternoon, which period is herein referred to as the time for receiving nominations. A nomination paper may be delivered to the Returning Officer by sending it to him by prepaid post, or by handing it to him personally, and may be so delivered at any time before the closing of the time for receiving nominations, but all nomination papers so delivered before the commencement of the time for receiving nominations shall be retained by the Returning Officer and produced by him at such commencement and for the purposes of this Scheme shall be deemed to have been delivered during the time for receiving nominations.

10. Every candidate shall be nominated by a separate nomination paper, and shall be described therein in such manner as will sufficiently identify such candidate.

No objection to a nomination paper on the ground of any description of the candidate therein not being sufficient or not being in accordance with these Rules shall be valid unless it is made by the Returning Officer himself during the time for receiving nominations.

11. A person shall not be entitled to have his name inserted in the ballot paper as a candidate unless he has been nominated in manner provided by this Scheme, and every person whose nomination paper has been or is deemed to have been delivered to the Returning Officer during the time for receiving nominations shall be deemed to have been nominated in manner provided by this Scheme unlessobjection be made to such nomination paper by the Returning Officer, or a candidate, before the expiration of the time appointed for receiving nominations, or within one hour afterwards.

The Returning Officer shall decide on the validity of every objection made to a nomination paper.

12. A candidate may at any time before the latest hour and day for the withdrawal of candidates, withdraw his candidature by furnishing notice to that effect to the Returning Officer signed by the candidate.

13. If the Returning Officer, before the latest hour and day for the withdrawal of candidates, receives notice that a candidate who has been validly nominated has died (whether before or after his nomination) such candidate shall be deemed to have withdrawn his candidature.

If the Returning Officer, after the latest hour and day for the withdrawal of candidates and before the close of the poll, receives notice of the death of a candidate, votes cast for such candidate shall not be counted.

Taking of the Poll.

14. If the number of candidates who are validly nominated and who do not withdraw, or are not deemed, under this Scheme, to have withdrawn, their candidature is equal to or less than the number of directors to be elected, no poll shall be taken, and in lieu thereof the Returning Officer shall on the day of election declare such candidates elected, and in that case such declaration shall be deemed to be the counting of the votes from the conclusion of which the term of office of such candidates is reckoned.

15. If the number of candidates who are validly nominated and who do not lawfully withdraw, or are not deemed, under this Scheme, to have withdrawn, their candidature exceeds the number of directors to be elected, a poll shall be taken in accordance with this Scheme.

16.—(1) On the day appointed for the issue of ballot papers, the Returning Officer shall send by post to each person whose name is on the electoral roll at the address stated on such electoral roll a ballot paper, together with a form of declaration of identity.

(2) Every person entitled to vote at an election shall be entitled to vote at that election in the following and no other manner, that is to say, by marking the ballot paper sent to him under this Scheme and returning by prepaid registered or ordinary post to the Returning Officer or delivering to the Returning Officer at his Office during business hours such ballot paper together with the form of declaration of identity sent to him therewith duly made and completed by him.

17.—(1) An elector in giving his vote must place on the ballot paper the mark X opposite the name of every candidate for whom he votes. An elector may not vote for more candidates than there are directors to be elected.

Any ballot paper which does not bear the official mark or on which votes are given to more candidates than the voter is entitled to vote for, or on which the amount and denomination of stock as written by the Returning Officer has been erased or altered shall be invalid and not counted.

(2) Every ballot paper shall be in the form set out in the Schedule hereto and shall :—

(a) contain a list of the candidates described by their names, addresses, and descriptions as stated in their nomination papers and arranged alphabetically in one continuous column in the order of their surnames and, in the case of identity of surnames, of their other names ; and

(b) have a number printed on the back thereof ; and

(d) be marked, at the time of the issue thereof, with an embossed official mark visible on both sides of the paper.

(3) The surname of each candidate shall be printed on the ballot papers in large characters, and their other names and their addresses and descriptions shall be printed in small characters save that whenever the surnames of two or more candidates are the same, there shall be printed in large characters (in addition to their surnames) the other names of such candidates and so much of the address or the description or both the address and the description of each such candidate as will, in the opinion of the Returning Officer, effectively distinguish such candidate.

18.—(1) Every declaration of identity shall be in the form set out in the Schedule hereto, and such form shall include (either on the face or the back of the form) instructions to the voter.

(2) Every declaration of identity shall be signed by the voter and (except where the voter is a corporate body) shall be signed in the presence of a witness who shall also sign such declaration and state thereon his address and description.

(3) The following provisions shall have effect in relation to the signing of declarations of identity by voters, that is to say :—

(a) Where the voter is a partnership, the declaration shall be signed in the partnership name by one of the partners followed by the signature of such partner in his own name and the word " partner " ;

(b) where the voter is an unincorporated association the declaration shall be signed in the name of such association by some person having authority to sign in that name followed by the signature of such person in his own name and a statement of the capacity in which he signs in the name of such association ;

(c) where the voter is a corporate body the declaration shall be signed by affixing thereto the seal of such body in the manner and with the countersignatures required by the constitution, articles of association, or other regulations of such body ;

(d) a declaration of identity purporting to be signed in accordance with this sub-rule shall, until the contrary is proved, be deemed to be signed in accordance with these rules.

19. Every candidate at an election shall be entitled to attend at the issue of ballot papers for that election, and the Returning Officer shall, on the request of any such candidate, inform such candidate of the time and place at which such issue of ballot papers will be made.

Issue of Ballot Papers.

20. No person shall be present at the issue of ballot papers save the Returning Officer and his assistants, such of the candidates as choose to attend, and such other person (if any) as the Returning Officer may permit to be so present.

21.—(1) At the time appointed for the issue of ballot papers, the Returning Officer shall issue a ballot paper to each elector and shall so issue such ballot papers by doing or causing to be done the following things, that is to say :—

(a) The number, name and description of the elector, and the amount and denomination of stock stated in the electoral roll shall be called out ;

(b) the elector's said number shall be marked on the counterfoil of the ballot paper ;

(c) a mark shall be placed on the electoral roll opposite the elector's number thereon to denote that a ballot paper has been issued to such elector, but without disclosing the identity of any of such ballot papers ;

(d) the official mark shall be embossed on the said ballot paper ;

(e) the amount and denomination of stock shall be inserted in the appropriate place on the front of the ballot paper

(f) the number on the back of the said ballot paper shall be marked upon a form of declaration of identity and upon a ballot paper envelope ;

(g) there shall be placed in an envelope (hereinafter referred to as the outer envelope) in the prescribed form addressed to the elector at his address stated in the electoral roll the following documents, that is to say :—

(i) the ballot paper ; and

(ii) the said form of declaration of identity ; and

(iii) an envelope (hereinafter referred to as the covering envelope) in the prescribed form addressed to the Returning Officer ; and

(iv) a smaller envelope (hereinafter referred to as the ballot paper envelope) in the prescribed form marked as hereinbefore directed with the number on the back of the said ballot paper ;

(h) the outer envelope shall be effectually closed.

(2) When the foregoing provisions of this rule have been complied with in respect of every elector, all the closed outer envelopes shall be collected, counted, and posted.

22. The Returning Officer, as soon as practicable after the completion of the issue of the ballot papers, and in the presence of the candidates in attendance (if any), shall make up in separate packets, sealedwith his own seal, and sealed by such of the candidates as desire to affix their seals, the marked copy of the electoral roll and the counterfoils of the ballot papers.

23. Ballot papers may be sent at any time before the closing of the poll, either by prepaid post or delivery by hand, to the Returning Officer at his office.

Receipt of Ballot Papers.

24. The Returning Officer shall provide a sufficient number of ballot boxes marked " Election of Directors ballot box " for the reception of the covering envelopes when returned by voters, and on the completion of the issue of the ballot papers the Returning Officer shall show every such ballot box open to the candidates (if any) present and shall seal every such ballot box with his seal and shall make provision for the safe custody of all such ballot boxes.

25. The Returning Officer shall place unopened in one of the aforesaid ballot boxes every covering envelope received by him before the close of the poll as and when it is received by him, and any other envelopes received by him containing ballot papers which may have been inadvertently opened by reason of such ballot papers not having been returned in the envelope provided for the purpose, and shall seal up unopened in a separate package all covering envelopes received by him after the close of the poll, and shall also seal up unopened in a separate package all outer envelopes returned to him as undelivered.

26. If any elector informs the Returning Officer that two days have elapsed since a ballot paper should have been delivered to him, and that a ballot paper has not been so delivered, the Returning Officer may issue a further ballot paper and declaration of identity which, by being of a different colour can readily be distinguished from the ballot papers already issued. The name and address of such elector shall be written on the counterfoil of such further ballot paper so issued. Such further declaration of identity and ballot paper is herein referred to as a special declaration of identity and ballot paper.

27. If an elector inadvertently spoils his ballot paper, the Returning Officer, on being satisfied as to such inadvertence may, having duly received from the elector the declaration of identity, the outer envelope and the ballot paper so spoiled, issue a further ballot paper and declaration of identity to such elector. The Returning Officer shall mark on the counterfoil of such further ballot paper the number on the back of the ballot paper so spoiled, and shall add thereto the word " duplicate."

28. Not less than three days before the close of the poll, the Returning Officer shall send, by post, to every candidate at his address as stated in his nomination paper notice, in writing, of the time and place at which he will open the ballot boxes and count the votes.

Counting of the Votes

29.—(1) The scrutiny and counting of votes shall commence immediately after the closing of the poll, and shall be held in the Company's Offices at Kingsbridge, Dublin.

(2) The following persons, and no others, may be present at thescrutiny and counting of votes, that is to say, the Returning Officer, his assistants, the candidates, and such members as may be appointed by the Company to attend under the provisions of this Scheme.

(3) The Company in general meeting may appoint any member or members, not exceeding two in number, to be present at the election of directors to be held next after the date of such general meeting ; and the member or members so appointed may be present at the scrutiny and counting of the votes in accordance with the foregoing provisions of this Scheme and may, if they so desire, take part in the scrutiny and counting of the votes given at such election.

30. When the ballot boxes have been opened the Returning Officer shall do the following things, that is to say :—

(a) take all the covering envelopes out of all the ballot boxes and count and note the number thereof ;

(b) open each such covering envelope and segregate any of those envelopes containing a special declaration of identity, and then take up each of the said covering envelopes not so segregated and examine the declaration of identity therein and compare the number on such declaration with the number on the ballot paper envelope in such covering envelope ;

(c) if the said numbers agree and the declaration of identity is found to be duly completed and made, he shall place the declaration of identity and the ballot paper envelope in separate receptacles ;

(d) if he is not satisfied that the declaration of identity has been duly completed and made, he shall endorse the declaration of identity " vote rejected," and shall attach thereto the ballot paper envelope, without opening such envelope, or if there is no such envelope, the ballot paper ;

(e) if he finds that the numbers on the declaration of identity and on the ballot paper envelope do not agree, or if the envelope has no number on it, he shall open the envelope, and if the number on the ballot paper agrees with the number on the declaration of identity he shall place the ballot paper in the special receptacle provided by him for ballot papers ;

(f) if the number on any ballot paper does not agree with a number on the declaration of identity, he shall replace the ballot paper in its envelope, if any, attach such envelope or ballot paper (as the case may be) to the declaration of identity, and endorse the declaration of identity " vote rejected " ;

(g) where a declaration of identity does not appear to accompany the ballot paper envelope, he shall open the ballot paper envelope, and if it is found to contain the declaration of identity he shall deal with such declaration and ballot paper envelope in accordance with the foregoing provisions of this Rule ;

(h) he shall mark with the word " rejected " every declarationof identity which is not accompanied by any ballot paper, and every ballot paper which is not accompanied by a declaration of identity ;

(i) when all the said covering envelopes not so segregated have been dealt with under the foregoing provisions of this Rule, he shall take out separately each of the said covering envelopes segregated as containing a special declaration of identity and examine the declaration of identity therein and ascertain whether a declaration of identity in respect of the same elector has, or has not, been previously examined under this Rule ;

(j) if a declaration of identity in respect of the same elector has previously been examined under this Rule, he shall mark the special declaration of identity " vote rejected " and shall attach thereto the ballot paper envelope without opening the same, or, if there is no such envelope, the ballot paper ;

(k) if a declaration of identity in respect of the same elector has not been previously examined under this Rule, he shall deal with the special declaration and the ballot paper envelope and the special ballot paper in accordance with the foregoing provisions of this Rule other than the last two preceding paragraphs thereof.

31. Where a ballot paper and a declaration of identity are received together and the numbers thereon agree, such ballot paper shall not be rejected solely on the ground that such ballot paper and declaration of identity were or either of them was not placed in the proper envelopes or envelope or that any such envelope was not fastened.

32. The Returning Officer shall show any declaration of identity which he proposes to reject on the ground that it has not been properly completed and made to the candidates present, and if an objection is made by any such candidate to his decision, he shall add to the endorsement the words " rejection objected to."

33. The Returning Officer shall keep all rejected declarations of identity with the attached envelopes or ballot papers, as the case may be, separate from other documents.

34. When all the covering envelopes in the several ballot boxes have been opened and their contents dealt with under the preceding Rules, the Returning Officer shall open each unopened ballot paper envelope and compare the number on the envelope with the number on the ballot paper therein, and if the number on the ballot paper agrees with the number on the envelope he shall place the ballot paper in the special receptacle provided by him for ballot papers, but if the number on the ballot paper does not agree with the number on the envelope he shall mark the ballot paper " rejected " and shall attach it to the envelope.

35. As soon as the Returning Officer has completed the placing of the ballot papers in the said special receptacle he shall seal up in separate packets, (1) the declarations of identity which accompanied any ballot papers duly accepted ; (2) any rejected declarations of identity ; and (3) any rejected ballot papers, in the two latter cases with the envelopes (if any) attached thereto.

36. When the Returning Officer has complied with the foregoing Rules he shall mix together thoroughly the ballot papers contained in the said special receptacle, and shall then take the said ballot papers out of the said special receptacle, count and note the number thereof and then count, in accordance with this Scheme, the votes recorded on the said ballot papers.

37. The Returning Officer shall endorse " rejected " on any ballot paper which he rejects as invalid and, if an objection be made by any candidate to his decision rejecting the ballot paper, he shall add to the said endorsement " rejection objected to."

38. The Returning Officer shall divide the amount of the stock expressed in pounds sterling on each valid ballot paper by 100 and shall record the result of such division (in this Scheme referred to as the quotient) on each ballot paper, any fractional remainder being disregarded.

39. The Returning Officer shall credit every candidate against whose name a mark is placed on a valid ballot paper indicating that the elector votes for such candidate, with a number of votes equal to the quotient recorded on such ballot paper.

40. The Returning Officer shall, subject to the provisions of Rule 13 of this Scheme, count the number of votes credited to the candidates as expressed on the ballot papers and shall declare elected the candidate with the largest number of votes, and shall then declare elected the candidate with the next largest number of votes, and so on until the number of candidates so declared to be elected is equal to the number of vacancies to be filled at the election.

41. If two or more candidates are each credited with the same number of votes and if both of such candidates cannot be declared elected in accordance with the preceding Rule, the Returning Officer shall determine by lot which of such candidates is elected.

42. The Returning Officer shall prepare and sign a statement setting forth the names and addresses of the candidates elected, the total number of ballot papers issued, and returned, and shall send a copy of such statement to the Secretary.

FORM OF NOTICE OF ELECTION OF DIRECTORS.

The Returning Officer for the election of Directors of the Great Southern Railways hereby gives notice that he will on the day of now next ensuing, between the hours of 10 in the forenoon and 4 in the afternoon, attend at to receive nominations for the election of Directors.

Candidates for election as Directors must be qualified by the possession in their own right of ordinary stock of the Company of the nominal value of not less than £1,000 for not less than three months before the annual general meeting subsequent to which the election at which he is a candidate is held.

Any member of the Company may obtain a form of nomination paper, free of charge, on application at *

Every nomination paper must be signed by two members of the Company entitled to vote at the election, and must include a statement of the consent of the candidate to be so nominated, signed by the candidate.

Every nomination paper must be delivered to the Returning Officer either at the place above appointed, between the hours of and on the day of or may be delivered by prepaid post or handed to him at any time before the hour of 10 a.m. on the day of .

A candidate may withdraw his candidature by furnishing notice to that effect signed by him to the Returning Officer, before on the day of

If the election is contested, ballot papers will be issued on the day of , and the poll will close at 12 noon on the day of . Any ballot paper received after the close of the poll will not be counted.

A list of members entitled to vote may be inspected by members of the Company, during office hours, on, from, and after the day of , and a copy may be purchased for £2 10s.

INSTRUCTIONS TO THE VOTER.

1. The voter may vote for....................candidate only.

2. The voter must vote by marking the ballot paper in the left hand side with the mark X opposite the name of each candidate for whom he votes.

3. The Returning Officer will credit every candidate against whose name the mark X is placed on a valid ballot paper with a number of votes equivalent to each complete £100 of stock held by the voter.

4. Immediately after voting, the voter must place the marked ballot paper in the enclosed envelope on which are printed the words "Ballot Paper Envelope," and fasten it up. He must then place the ballot paper envelope, together with this paper, in the other larger enclosed envelope addressed to the Returning Officer and return the same without delay.
