S.I. No. 62/2000 - Companies (Forms) Order, 2000

I, Mary Harney, Minister for Enterprise, Trade and Employment, in exercise of the powers conferred on me by sections 3 , 42 , 44 and 45 of the Companies (Amendment) (No. 2) Act, 1999 (No. 30 of 1999), by section 12C of the Companies (Amendment) Act, 1982 (No. 10 of 1982) (inserted by section 46 of the Companies (Amendment) (No. 2) Act, 1999 ), and by sections 195 and 396 of the Companies Act, 1963 (No. 33 of 1963) (as amended by section 47 of the Companies (Amendment) (No. 2) Act, 1999 ), as adapted by the Enterprise and Employment (Alteration of Name of Department and Title of Minister) Order, 1997 ( S.I. No. 305 of 1997 ), hereby order as follows:

1. (1) This Order may be cited as the Companies (Forms) Order, 2000.

(2) The Companies (Forms) Orders, 1964 to 1994, and this Order may be cited together as the Companies (Forms) Orders, 1964 to 2000.

2. This Order shall come into operation on the 18th. day of April, 2000.

3. In this Order -

“Act of 1963” means the Companies Act, 1963 (No. 33 of 1963);

“Act of 1982” means the Companies (Amendment) Act, 1982 (No. 10 of 1982);

“Act of 1999” means the Companies (Amendment) (No. 2) Act, 1999 (No. 30 of 1999).

4. The Companies (Forms) Order, 1982 ( S.I. No. 256 of 1982 ), is hereby amended by the substitution for Form No. A1 (inserted by Article 6 of the Companies (Forms) Order, 1991 ( S.I. No. 161 of 1991 )) in Part I of the Schedule thereto of the form (Form A1) set out in Schedule 1 to this Order, which form is hereby prescribed for the purposes of section 42 of the Act of 1999.

5. The form (Form B67) set out in Schedule 2 to this Order, or a form to like effect, is hereby prescribed for the purposes of section 44 of the Act of 1999.

6. The form (Form B68) set out in Schedule 3 to this Order, or a form to like effect, is hereby prescribed for the purposes of section 45 of the Act of 1999.

7. The statutory declaration in the form (Form B69) set out in Schedule 4 to this Order, or a form to like effect, is hereby prescribed as additional information for the purposes of section 195(11A)(b)(i) of the Act of 1963 (inserted by section 47 of the Act of 1999).

8. There is hereby prescribed for the purposes of section 195(11E) of the Act of 1963 (inserted by section 47 of the Act of 1999) as proof of the death of the director or secretary concerned a statement in the form (Form B70) set out in Schedule 5 to this Order (or a form to like effect), to which is attached an official copy death certificate relating to the director or secretary concerned.

9. The form (Form H1R) set out in Schedule 6 to this Order, or a form to like effect, is hereby prescribed for the purposes of section 12C of the Act of 1982 (inserted by section 46 of the Act of 1999).
